Companies Act 2006 - are you ready for 2008?

During 2007 we issued a series of briefing notes summarising the major changes in company law introduced by the Companies Act 2006 (CA 2006).

A number of changes come into force on 6 April 2008 – less than four months away. Here you can read our analysis of the most important changes which will take effect as well as action to consider in light of these imminent changes.

Many changes were due to come into force on 1 October 2008. In December 2007, the Government announced that a number of proposed changes were to be postponed until 1 October 2009. This was in light of concerns over the effectiveness of the new systems and processes Companies House would have to adopt to permit the new measures to operate as planned. Here is an analysis of the most important changes which will now take effect from 1 October 2009, as well as those which will still go ahead from 1 October 2008. A change which was not foreseen was the impact of new rules regarding the passing of member resolutions, in force from October 2007, on a provision commonly included in private company articles. We provide analysis of the issue, which potentially affects most private and even some public companies. We also consider the action you should take in the light of this issue.
