Wragge & Co LLP Corporate Group has completed its first transaction for Carron Energy Limited. A cross-firm team led by partner Richard Haywood advised the private power company on its acquisition of NEL Power Group from administrators Grant Thornton and Taylor Rowlands.

The deal marks the foundation of a new division, Carron Engineering and Construction. Based in Stokesely, North Yorkshire, the new company will retain all 54 former NEL staff and will focus on combined heat and power, engineering, construction and renewables. Wragge & Co has an established relationship with Carron Energy through client partner Derek Goodban. This acquisition is the firm's first corporate instruction for Carron Energy.

The Wragge & Co team comprised corporate specialists Carolyn Giles, Graham Spalding, Ashley Davidson and Claire Dolphin. This core team was supported by real estate, insolvency, employment, pensions, commercial, tax, litigation, IP and construction experts. They worked alongside Carron Energy CEO Alex Lambie, Frank Shed, group technical director, and Steve Foster, finance director. Dickinson Dees advised the administrators.

Steve Foster said: "Wragge & Co's energy credentials, combined with its ability to handle any issue, from corporate and insolvency law to employees, property and other assets, made it the right choice for us."

Richard Haywood said: "This acquisition gives Carron Energy an excellent platform for developing its renewables capability. We are very happy to have extended a longstanding client relationship to include this important strategic corporate acquisition. A strong team effort enabled us to complete the deal quickly and to our client's satisfaction."

This latest deal is Wragge & Co's third major energy transaction this summer. A team led by Richard Haywood acted for BP plc on its $400 million biofuels investment deal with Associated British Foods and DuPont. Derek Goodban led a team of construction and energy lawyers who advised E.ON UK on its deal to create one of the world's largest combined heat and power stations on the Isle of Grain in Kent.

Wragge & Co's 70-lawyer Corporate Group is supported by specialists in banking, pensions, employment, real estate and tax, ensuring full-service advice and support for every deal. M&A highlights from the past six months include a first deal for Northgate Information Solutions, Sanctuary Housing's merger with Shaftesbury Housing and a trio of deals totalling $1.03 billion for real estate developer Parkridge Group.
